User Agreement

Welcome to BuyerLocal.com (“BuyerLocal,” “we,” “our,” or “us”). This User Agreement (“Agreement”) governs your access to and use of BuyerLocal.com, including related mobile applications, services, and tools (collectively, the “Services”).

By registering an account, buying, selling, or otherwise using our Services, you agree to this Agreement, as well as our Privacy Policy and any additional terms incorporated herein by reference.

1. Eligibility

• ● You must be at least 18 years old and capable of entering into legally binding contracts.
• ● Businesses must be legally registered and authorized to sell the products they list.
• ● We may deny or terminate accounts at our sole discretion.

2. Account Responsibilities

• ● You are responsible for maintaining the confidentiality of your account and password.
• ● You agree not to impersonate another person or misrepresent your identity.
• ● All activity under your account is your responsibility.

3. Platform Role

• ● BuyerLocal.com provides a marketplace platform for buyers and sellers to connect.
• ● BuyerLocal.com is not the seller of record. Transactions occur directly between buyer and seller.
• ● We do not guarantee product quality, legality, or seller performance.

4. Prohibited Uses

You agree not to use the Services for:

• ● Fraudulent, illegal, or deceptive transactions.
• ● Uploading counterfeit, stolen, or infringing goods.
• ● Violating intellectual property rights of BuyerLocal.com or third parties.
• ● Circumventing our fees or attempting off-platform sales to avoid transaction charges.
• ● Data mining, scraping, or automated access without authorization.

5. Fees & Payments

• ● Sellers agree to pay applicable fees, including:
• ○ Transaction Fee: 1.5% of eligible sales.
• ○ Advertising Fees: As agreed for promotional placements.
• ● Fees may change with 30 days’ notice posted on the Site.
• ● Sellers are responsible for applicable taxes. BuyerLocal.com does not collect or remit taxes unless required by law.

6. Buyer Terms

• ● Buyers are responsible for reading item descriptions carefully before purchasing.
• ● BuyerLocal.com does not guarantee delivery, authenticity, or quality of goods.
• ● Disputes must be resolved directly with the seller. BuyerLocal.com may, at its discretion, assist in mediation but is not obligated to do so.

7. Seller Terms

• ● Sellers must provide accurate and lawful listings.
• ● Sellers warrant that they have full rights to the items offered for sale.
• ● Sellers may not list prohibited items (illegal goods, unsafe products, restricted categories).
• ● Sellers must comply with all consumer protection, tax, and e-commerce laws.
• ● BuyerLocal.com may remove listings or suspend sellers who violate policies.

8. Intellectual Property

• ● BuyerLocal.com and its Services, including all design, branding, and technology, are the exclusive property of BuyerLocal.com.
• ● Sellers retain ownership of their content but grant BuyerLocal.com a worldwide, royalty-free license to display, market, and promote listings.
• ● Unauthorized reproduction, scraping, or misappropriation of BuyerLocal.com’s content is prohibited.

9. Data & Privacy

• ● We collect and use data as described in our Privacy Policy.
• ● We do not sell personal data.
• ● By using the Services, you consent to our use of data for platform operations, analytics, and legal compliance.

10. Disputes & Resolution

• ● BuyerLocal.com is not responsible for resolving disputes between buyers and sellers.
• ● Users agree to attempt resolution directly before escalating.
• ● BuyerLocal.com may, at its discretion, offer mediation, but decisions are not binding.
• ● Users agree to indemnify BuyerLocal.com against claims arising from transactions.

11. Limitation of Liability

• ● BuyerLocal.com provides the Services “as is” and makes no guarantees regarding uptime, product authenticity, or business outcomes.
• ● To the maximum extent permitted by law, BuyerLocal.com is not liable for lost profits, damages, or claims arising from user activity.

12. Termination

• ● BuyerLocal.com may suspend or terminate accounts for violations of this Agreement.
• ● Users may close accounts at any time, subject to fulfilling outstanding obligations.

13. Governing Law

This Agreement shall be governed by the laws of the State of [Insert State], without regard to conflict of law principles.

14. Changes to Agreement
